Terms and Conditions
	To be an authorized affiliate of ePet ID, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the ePet ID service as an affiliate. By signing up for the ePet ID affiliate program, you indicate your acceptance of this agreement and its terms and conditions. The ePet ID Affiliate Agreement Terms and Conditions This Agreement describes the terms and conditions for participation in the ePet ID Affiliate Program. The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We", "us", "our" and "ePet ID" refer to B&T Enterprises LLC of Arizona, an Arizona Corporation. This Agreement shall not render you an employee, partner, agent of, or joint venture with us for any purpose. You are and will remain independent in your relationship with us, in all respects. AGREEMENT DURATION This Agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination. You understand that the ePet ID affiliate program is for active subscribers only, and your right to future affiliate commissions is canceled in the event that you cancel your subscription. MODIFICATION We may modify any of the terms and conditions of this Agreement at any time and at our sole discretion. These modifications may include, but will not be limited to, changes in the scope of available referral fees, fee schedules, payment procedures and general Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this Agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following any change to the terms and conditions of this Agreement, it will be considered as your acceptance of such change. You will be notified of a modification by the posting of a notice or modified Agreement on this site, or by such other means as reasonably determined by us. COMMISSION FEES You will receive a commission for each qualified sale through the ePet ID affiliate program. Qualified sales are those that pass the ePet ID fraud prevention measures, as determined by us in our sole discretion from time to time. Our fraud prevention measures may include, but are not limited to, the analysis of Conversion Rates, Click Origins, Page Depth, Time on Site, Cookie Acceptance, Usage Patterns and Repeat IP Address Visits. ePet ID, in our sole discretion, may adjust your monthly qualified referral counts as a result of fraud prevention measures. Affiliate hereby agrees to any and all such adjustments and hereby accepts such adjustments with or without explanation. Commission fees can only be earned between the acceptance of the Affiliate application and notice of termination. The minimum commission payment is $50. Payments will be processed by the 10th of each month by ePet ID and mailed to the address provided on your affiliate application and made payable to the name provided on your affiliate application. Any sales cancellations will be adjusted in the following month's commission fee payment. If the minimum payment amount is not reached, or no fee payment is due, no check will be issued. Notwithstanding the foregoing, if there is a dispute with respect to the payment of commission fees, ePet ID shall resolve such dispute in its sole discretion, acting reasonably. WEBSITE LINKS AND RESTRICTIONS ePet ID reserves the right not to accept any site into the ePet ID Affiliate Program based on site content. Sites that do not qualify for the ePet ID Affiliate Program may include, but are not limited to, sites that: * Promote sexually explicit materials; * Promote violence and discord; * Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; * Promote illegal or questionable activities; * Violate intellectual property rights; or * Promote any type of objectionable material, as we, in our sole discretion, may determine. In addition, all inbound affiliate links to ePet ID must originate from the approved site only. Inbound links from other websites or sources, including direct links from search engines, will not be counted and may result in immediate dismissal from ePet ID Affiliate Program. SPAM (UCE) ePet ID does not participate in unsolicited e-mailing (i.e. spamming). All Affiliates are expected to adhere to a strict anti-spamming policy as well. Violation of this policy will result in the termination of this Agreement and immediate dismissal from the ePet ID Affiliate Program. DISCLAIMER We make no express or implied warranties or representations with respect to the The ePet ID Affiliate Program or your potential to earn income there from. In addition, we make no representation that the operation of our site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. INDEMNITY You hereby agree to fully indemnify and hold harmless B&T Enterprises LLC of Arizona and its respective officers, directors, employees and agents, from and against any and all actions, causes of action, suits, duties, debts, claims, demands, interest, penalties, liability, damages, costs and expenses (including, without limitation, legal fees) which may at any time hereafter be suffered or incurred by B&T Enterprises LLC of Arizona as a result of any person making or bringing any claim or proceeding against B&T Enterprises LLC of Arizona arising out of or based upon any unauthorized use, by you, of the ePet ID Affiliate Program. GENERAL This Agreement will be governed by the laws of the United States and the District of Arizona, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the Federal or State courts located in Phoenix, and you irrevocably consent to the jurisdiction of such courts. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision. By submitting the Affiliate Application form, you acknowledge that you have read this Agreement and agree to all its terms and conditions. You have independently evaluated the ePet ID Affiliate Program and are not relying on any representation, guarantee, or statement other than as set forth in this Agreement.
